Terms of Use
These Terms of Use ("Terms") govern your access to and use of the website, the Nottu mobile application (the "App"), and all related services provided by Aaram Inc. (referred to as "we," "us," or "our").
Please read these Terms carefully before using our Services. By accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree to these Terms, you may not access or use the Services.
By clicking "I Agree," or by otherwise accessing or using the Services, you confirm your acceptance of these Terms and acknowledge that these Terms form a binding legal agreement between you and Aaram Inc.
The Services are intended solely for users who are at least 18 years of age or older and are located in the United States. By using the Services, you represent and warrant that you meet all of the foregoing eligibility requirements. If you do not meet these requirements, you must not access or use the Services.
A. Account Security: You are responsible for safeguarding the password and other credentials that you use to access the Services and for any activities or actions under your account. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to comply with this requirement.
B. Accurate Information: You agree to provide current, complete, and accurate information during the registration process and to update such information as necessary to keep it accurate and complete.
A. Ownership: You retain all ownership rights to the raw audio recordings, transcripts, and any text, data, or files you upload, submit, or record using the App ("User Content"). We do not claim ownership over your User Content.
B. License to Aaram Inc.: By submitting User Content, you grant Aaram Inc. a worldwide, non-exclusive, royalty-free, fully paid-up, transferable, and sublicensable license to use, reproduce, modify, translate, distribute, and display the User Content solely for the purpose of operating, improving, and providing the Services to you, including generating notes, summaries, and quizzes. This license terminates when you delete your User Content or close your account, except as necessary for us to comply with legal obligations or for anonymized internal analysis (as described in the Privacy Policy).
C. Responsibility for Content: You are solely responsible for your User Content and the consequences of submitting and using it. You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to record and submit the User Content, and that your use of the Services does not violate any:
- Third-party intellectual property, privacy, or publicity rights (e.g., lecturer's copyright).
- Your university's policies, academic honor code, or regulations regarding class recording or note-taking.
- Applicable laws, including federal or state laws regarding consent for audio recording.
All rights, title, and interest in and to the Services (excluding User Content), including all software, technology, designs, trademarks, logos, and all documentation and data related to the Services, are and will remain the exclusive property of Aaram Inc. and its licensors. The App grants you a limited, non-exclusive, non-transferable, and revocable license to use the Services for your personal, non-commercial use as permitted by these Terms.
You agree not to use the Services to:
- Violate any applicable federal, state, local, or international law or regulation.
- Infringe upon the intellectual property rights of others, including unauthorized use of copyrighted lecture material.
- Engage in any form of cheating or academic dishonesty as defined by your academic institution.
- Circumvent or attempt to circumvent any security features of the Services.
- Reverse engineer, disassemble, decompile, or otherwise attempt to derive the source code of the App or any underlying technology.
Certain features of the Services may require you to pay a fee. You agree to pay all applicable fees and taxes. All fees are non-refundable unless otherwise expressly stated by us. We reserve the right to change our prices at any time, but any price change will apply to you only after providing you with notice.
We may suspend or terminate your access to the Services immediately, without prior notice or liability, if you breach these Terms. Upon termination, your right to use the Services will immediately cease. You may terminate your account at any time by contacting us, and sections 4, 5, 6, 9, 10, and 11 will survive termination.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. AARAM INC. DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE NOTES OR QUIZZES GENERATED BY THE APP WILL BE 100% ACCURATE OR SUFFICIENT FOR ACADEMIC SUCCESS. YOUR USE OF THE SERVICES IS AT YOUR OWN RISK.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL AARAM INC., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES IS LIMITED TO THE AMOUNT YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
You agree to indemnify, defend, and hold harmless Aaram Inc., its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms or any applicable law or regulation.
- Any claim that your User Content violates the intellectual property, privacy, or other rights of any third party or violates your university's policies.
- Your use of the Services, including any use of the App's content, products, or services other than as expressly authorized in these Terms.
These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or the Services will be resolved through binding arbitration in Claymont, Delaware, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, or other intellectual property rights.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.
